Welcome to Whyrent
These Terms of Service ("Terms") govern your access to and use of the Whyrent platform, including our website, mobile applications, and services (collectively, the "Platform"). Please read these Terms carefully before using our Platform.
By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.
1. Definitions
- "Whyrent", "we", "us", or "our" refers to Whyrent, Inc. and its subsidiaries and affiliates.
- "User", "you", or "your" refers to any individual or entity that uses our Platform.
- "Owner" refers to a User who lists items for rent on our Platform.
- "Renter" refers to a User who rents items from Owners through our Platform.
- "Listing" refers to an item offered for rent on our Platform.
- "Rental Agreement" refers to the agreement between an Owner and a Renter for the rental of an item.
2. Eligibility
To use our Platform, you must:
- Be at least 18 years old.
- Have the legal capacity to enter into binding contracts.
- Not be barred from using our services under applicable law.
- Complete the registration process and maintain an account in good standing.
By using our Platform, you represent and warrant that you meet all eligibility requirements.
3. Account Registration
To access certain features of our Platform, you must register and create an account. When you register, you agree to:
- Provide accurate, current, and complete information.
- Maintain and promptly update your account information.
- Keep your password secure and confidential.
- Notify us immediately of any unauthorized use of your account.
- Be responsible for all activities that occur under your account.
We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.
4. Platform Rules
When using our Platform, you agree not to:
- Violate any applicable laws or regulations.
- Infringe on the rights of others, including intellectual property rights.
- Use our Platform to distribute harmful, offensive, or illegal content.
- Attempt to gain unauthorized access to any part of our Platform.
- Use our Platform to engage in fraudulent or deceptive activities.
- Interfere with the proper functioning of our Platform.
- Create multiple accounts for improper purposes.
- List prohibited items (see Section 5).
5. Prohibited Items
The following items are prohibited from being listed on our Platform:
- Illegal items or substances.
- Weapons, firearms, ammunition, and explosives.
- Counterfeit or stolen items.
- Items that infringe on intellectual property rights.
- Hazardous materials or substances.
- Animals or livestock.
- Adult content or services.
- Any other items that we determine, in our sole discretion, to be inappropriate.
We reserve the right to remove any Listing that violates these prohibitions.
6. Rental Process
6.1 Listings
Owners are responsible for:
- Creating accurate and complete Listings.
- Setting fair rental prices and terms.
- Providing clear and accurate photos of the item.
- Disclosing any defects or issues with the item.
- Maintaining and updating the Listing as needed.
6.2 Rental Requests
Renters can submit requests to rent items. The Owner has the discretion to accept or decline any request.
6.3 Rental Agreements
When an Owner accepts a Renter's request, a Rental Agreement is formed. Both parties agree to:
- Honor the agreed-upon rental period and price.
- Coordinate pickup and return details.
- Maintain communication through our Platform.
- Resolve any issues in good faith.
6.4 Payments
All payments must be processed through our Platform. We collect payment from Renters and release funds to Owners according to our payment schedule. Service fees apply to all transactions.
6.5 Cancellations
Cancellation policies vary depending on the timing of the cancellation. Owners may set their own cancellation policies within our guidelines. Fees may apply for cancellations based on the applicable policy.
7. User Responsibilities
7.1 Owner Responsibilities
As an Owner, you are responsible for:
- Ensuring your items are in good working condition and safe to use.
- Providing accurate descriptions and images of your items.
- Having legal ownership or authority to rent out the items.
- Meeting with Renters for item pickup and return.
- Inspecting items upon return to verify their condition.
- Communicating promptly with Renters and our support team.
7.2 Renter Responsibilities
As a Renter, you are responsible for:
- Using the rented item as intended and with reasonable care.
- Returning the item in the same condition you received it.
- Returning the item on time to the Owner.
- Compensating the Owner for any damage or loss beyond normal wear and tear.
- Following any specific instructions provided by the Owner.
- Having appropriate insurance coverage, if required.
8. Fees and Payments
Whyrent charges the following fees:
- Service Fee: A percentage of the total rental amount, paid by both Owners and Renters.
- Payment Processing Fee: A fee to cover payment processing costs.
- Security Deposit: A refundable amount to cover potential damage or loss.
Fee structures are available on our website and may be updated from time to time. All fees are non-refundable unless otherwise specified.
9. Dispute Resolution
If a dispute arises between Users, we encourage you to first attempt to resolve the issue directly. If that is unsuccessful, you may use our dispute resolution process, which includes:
- Submitting a formal dispute through our Platform.
- Providing relevant documentation or evidence.
- Working with our support team to find a resolution.
We will review the dispute and make a final decision based on our policies and the information provided. Our decision is binding on all parties.
10. Limitation of Liability
To the maximum extent permitted by law, Whyrent and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or relating to your use of our Platform or these Terms, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been informed of the possibility of such damage.
Our aggregate liability to you for all claims arising out of or relating to the use of our Platform or these Terms shall not exceed the greater of (a) the amount paid by you to Whyrent in the 12 months preceding the claim or (b) $100.
11. Indemnification
You agree to indemnify, defend, and hold harmless Whyrent and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your violation of these Terms.
- Your use of our Platform.
- Your violation of the rights of any third party.
- Your conduct in connection with our Platform.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on our Platform. Your continued use of our Platform after such notification constitutes your acceptance of the modified Terms.
13. Termination
We reserve the right to suspend or terminate your access to our Platform, without notice or liability, for any reason, including if you violate these Terms. Upon termination, your right to use our Platform will immediately cease.
14. Governing Law
